You will require an Federal nuans report for Articles of Incorporation in Ontario ($35).  Our service will provide:

• a Certificate of Incorporation, and
• the filing of the Initial Return (mandatory)

There is a legal requirement to prepare what are called minute book documents (or, organizational documents).  These documents evidence the ownership of the company.  The Certificate of Incorporation only shows the directors.

25% of the directors of a federal company must be resident Canadians.  A “resident Canadian” is defined as a Canadian citizen or Permanent Resident who is living in Canada.

The minute book documents include by-laws, resolutions to allot shares, elect directors and appoint officers, share certificates, registers, etc.  To fully comply with the legal requirements of incorporation the minute book documents must also be prepared for a new Federal incorporation.
