You will require an Manitoba Name Reservation Report to incorporate a business in Manitoba.   Our basic service will provide a Manitoba Certificate of Incorporation.

25% of the directors of a Manitoba company must be resident directors.  A “resident director” is someone who is a Canadian citizen or a Permanent Resident and who lives in Canada.

There is a legal requirement to prepare what are called minute book documents (or, organizational documents).  These documents evidence the ownership of the company.  The Manitoba Certificate of Incorporation only shows the directors.

The minute book documents include by-laws, resolutions to allot shares, elect directors and appoint officers, share certificates, registers, etc.  To fully comply with the legal requirements of incorporation the minute book documents must also be prepared for a new Manitoba incorporation.

  • a physical minute book which will be delivered to you
